Terms of Service
1. Acceptance of Terms
By accessing or using the Cabora platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.
2. Description of Service
Cabora is a cloud-based cabinet design application that allows cabinetmakers, woodworkers, and design professionals to create cabinet layouts, generate cut lists, produce client-facing PDFs, and utilize AI-assisted design tools. The Service is accessed via web browser and requires an internet connection.
3. Account Registration and Eligibility
You must be at least 13 years of age to use the Service. By creating an account you represent that the information you provide is accurate and that you will keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4. Subscription, Billing, and Payments
4.1 Plans and Free Trial
Cabora offers paid subscription plans billed monthly or annually. A 14-day free trial is available upon registration. During the trial period:
- Full design tools are available including 3D visualization and all cabinet types.
- Export features (PDFs, cut lists, BOMs, cost reports) require a paid subscription.
- AI features (Copilot, Advisor, Optimizer, Renders) require a Studio or Shop plan.
After the trial period, accounts revert to read-only access until a paid plan is activated. Your project data is never deleted during or after a trial — it remains accessible when you subscribe. Subscription fees are billed in advance.
4.2 Failed Payments and Grace Period
If a scheduled payment fails (including due to an expired card, insufficient funds, or bank decline), the following process applies:
- Your account enters a 7-day grace period. During this period your account is placed in read-only mode: you may view, navigate, and export your existing projects but may not create or edit new content.
- Cabora will attempt to retry the failed charge automatically during the grace period. You are responsible for keeping your payment method current.
- If payment is not successfully collected within 7 days of the original failure, your subscription will be suspended. Suspended accounts retain data but cannot access any features.
- If payment is not resolved within 30 days of suspension, your account may be canceled and your data retention period (Section 7) will begin.
You are responsible for ensuring your payment information remains accurate and up to date. Cabora is not responsible for service interruptions caused by failed payments.
4.3 Plan Downgrades
You may downgrade your subscription plan at any time. Downgrades take effect at the end of your current billing period — you will retain access to your current plan’s features through that date.
If your data or usage exceeds the limits of your new lower-tier plan, the following applies upon the downgrade taking effect:
- Projects exceeding your new plan’s active project limit will be placed in archived status, oldest-created first. You may view and export archived projects but may not edit them.
- Archived projects are restored to active status immediately if you upgrade your plan.
- Cabora will not automatically delete projects as a result of a plan downgrade.
No refunds or prorated credits are issued for mid-cycle downgrades or unused features.
4.4 Cancellation and Refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not offer refunds for partial periods except as required by applicable law. Annual subscriptions canceled within 7 days of initial purchase may be eligible for a prorated refund at our discretion.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulations.
- Attempt to reverse engineer, decompile, or extract the source code of the Service.
- Use automated tools to scrape, crawl, or access the Service in an unauthorized manner.
- Transmit malicious code, viruses, or any content that could damage the Service or other users.
- Resell or sublicense access to the Service without our written consent.
6. Intellectual Property
You retain ownership of the design data and project files you create using the Service ("User Content"). By using the Service, you grant Cabora a limited, non-exclusive license to store, process, and display your User Content solely to operate and improve the Service.
Cabora owns all rights, title, and interest in the Service itself, including the software, algorithms, design engine, AI models, UI, branding, and all related intellectual property. Nothing in these Terms transfers any ownership of the Service to you.
7. User Content, Data, and Retention
7.1 Ownership and Use
You are solely responsible for the accuracy and legality of your User Content. Cabora does not claim ownership of your designs. We will not sell your project data to third parties. See our Privacy Policy for details on how we handle your data.
7.2 Data Retention After Cancellation
Upon cancellation of your subscription, the following retention schedule applies:
- Your account enters a 90-day read-only retention period beginning on the cancellation date.
- During this period, you may log in, view all projects, and export your data including PDFs, cut lists, and DXF files. You may not create or edit content.
- Cabora will send email reminders at 60 days and again at 80 days notifying you of the upcoming permanent deletion date.
- After 90 days from the cancellation date, all project data, files, and account information are permanently and irrecoverably deleted from our systems.
- Cabora is not responsible for data loss after the 90-day retention period expires.
- If you reactivate your subscription within the 90-day window, your account and all data are restored in full with no interruption.
7.3 Data Export
You may export your project data at any time while your account is active or within the 90-day retention period following cancellation. Cabora provides self-serve export tools for PDFs, cut lists, BOMs, and design files. We recommend exporting your data before canceling your subscription.
7.4 AI Feature Data
Content processed by AI features (Copilot, Design Advisor, Optimizer, Renders) is transmitted to third-party AI service providers. Cabora uses Anthropic’s API for AI functionality. By using AI features, you acknowledge that your design data and prompts are processed by Anthropic in accordance with their API data handling policies. Anthropic does not train on API inputs by default. Cabora does not use your project data to train AI models.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CABORA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS (INCLUDING CUT LISTS AND MATERIAL ESTIMATES) WILL BE ACCURATE FOR ANY PARTICULAR MANUFACTURING CONTEXT. YOU ARE RESPONSIBLE FOR VERIFYING ALL OUTPUTS BEFORE USE IN PRODUCTION.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CABORA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE — INCLUDING DIRECT DAMAGES — SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Strata Ventures LLC d/b/a Cabora and its officers, directors, and employees from any third-party claims, damages, or expenses (including reasonable attorneys' fees) arising directly from: (a) your breach of these Terms, or (b) your use or distribution of Service outputs — including cut lists, material estimates, or design files — without the independent verification required under Section 11. This indemnification does not apply to claims caused by our own negligence or willful misconduct.
11. Professional Use and Output Verification
The Service is a design and estimation tool. All outputs — including cut lists, material quantities, cost estimates, and dimensions — are generated algorithmically and may not account for your specific materials, equipment tolerances, joinery methods, or building code requirements. You are solely responsible for reviewing, validating, and approving all outputs before use in any professional, commercial, or structural context. The Service is not a substitute for professional engineering judgment. Cabora expressly disclaims any liability for property damage, financial loss, or personal injury arising from reliance on unverified outputs.
12. Force Majeure
Cabora shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, internet or infrastructure outages, third-party service failures, or government action. If such an event occurs, we will make reasonable efforts to notify affected users and restore the Service as quickly as practicable.
13. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or other conduct that we determine to be harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.
14. Governing Law
These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Utah County, Utah, and you consent to personal jurisdiction in those courts.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and notify you via email or an in-app notice. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
